Overview
Micron’s Legal Department is seeking an Assistant General Counsel - Securities. This candidate is expected to provide high-quality and timely support to our Corporate Legal Team and other business units in the areas of securities and corporate governance. The Assistant General Counsel – Securities may also support the areas of M&A and venture capital as needed.
Work Responsibilities
Assist in the review of quarterly and periodic SEC filings, including Forms 10-K, 10-Q, and 8-K
Support annual shareholder meeting and related processes, including working with cross-functional teams to prepare and file the proxy statement
Assist with corporate governance matters, including preparation of board and committee materials, updates to committee charters and other governance documents, research on corporate governance matters and drafting of other policies, as needed
Support administration of Micron’s Insider Trading Policy, including Section 16 reporting, insider trading compliance matters and 10b5-1 plans
Advise on communications and investor relations matters, including review of earnings announcements, press releases and other materials
Support team lead in the areas of M&A and venture capital, as needed
Assist and support other internal departments such as HR, finance, accounting, stock administration, sustainability, communications and investor relations on matters, as needed
Lead other projects as assigned
Overnight domestic travel 1-2 times per quarter (depending on location) will likely be required
Experience with Workiva, including experience filing 8-Ks, is a plus
Minimum Qualifications
College degree (B.A., B.S.) and Juris Doctorate (J.D.) from top-tier, ABA-accredited law school
Four to six years of related experience at a law firm or in a corporate law department (in-house experience a plus)
Well-versed in explaining legal issues to business partners and other non-lawyers and offering practical legal and commercial advice
Confidence to share and propose ideas on legal issues to both internal stakeholders and external counsel/consultants
Excellent written and verbal communications skills
